These Teleparty Affiliate Program Terms and Conditions (the “Terms”) govern participation in the Teleparty Affiliate Program (the “Program”).
The Program is operated by WP Interactive Media, Inc., doing business as Teleparty (“Teleparty,” “we,” “us,” or “our”).
By applying for, registering for, accessing, or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to these Terms. If you do not agree to these Terms, you may not participate in the Program.
1. Eligibility and Enrollment
The Program is available to individuals and legal entities that meet the requirements of these Terms.
Individual Affiliates must be at least 18 years old or the age of legal majority in their jurisdiction, whichever is greater.
You must provide accurate, complete, and current information when creating and maintaining your Affiliate account, including any information reasonably required for identity verification, tax reporting, fraud prevention, or payment processing.
Affiliate applications are auto-approved upon signup. Teleparty may still suspend, reject, or terminate an Affiliate’s participation in the Program at its discretion.
You are responsible for maintaining the security of your Affiliate account and credentials and for all activity conducted through your account.
2. Affiliate Links and Referral Tracking
Teleparty may provide you with a unique referral link or other tracking mechanism through the Program.
You are responsible for using the referral link or tracking mechanism correctly.
Unless Teleparty expressly determines otherwise, referral attribution is determined by Teleparty’s tracking systems.
2.1 Attribution Window
A referral may be attributed to you if a user first clicks your valid Affiliate link and subsequently makes a qualifying payment within 60 days of that first click.
2.2 First-Click Attribution
Teleparty uses first-click attribution.
If a user interacts with referral links belonging to multiple Affiliates, the Affiliate associated with the user’s first qualifying Affiliate click will generally receive attribution.
This applies regardless of the stage at which the first Affiliate link was clicked. For example, attribution may occur before account registration, while a user is already signed into an existing Teleparty account, or before the user purchases a paid Teleparty product or subscription.
Later clicks on another Affiliate’s referral link do not ordinarily replace an existing valid first-click attribution.
2.3 Existing Teleparty Users
A referred user does not need to be a new Teleparty user or a new paying customer for the Affiliate to qualify for commissions.
Subject to these Terms, Affiliates may earn commissions when referred:
- free Teleparty users become paying customers;
- existing Teleparty users purchase a paid product or subscription;
- former paying customers make new qualifying payments; or
- existing paying customers make qualifying future payments after valid referral attribution.
2.4 Untracked Referrals
Teleparty’s tracking records will ordinarily control referral attribution.
If a referral is not automatically tracked, Teleparty may, but is not required to, manually attribute the referral where the Affiliate provides credible evidence reasonably establishing that the referral resulted from the Affiliate’s promotion.
Manual attribution is determined by Teleparty on a case-by-case basis in its sole discretion and is not guaranteed.
3. Affiliate Commission
Subject to these Terms, Affiliates are eligible to earn a commission equal to 25% of qualifying revenue actually received by Teleparty from an attributed customer.
The commission applies to qualifying payments made by the attributed customer for the lifetime of that customer relationship, subject to these Terms and any future modifications to the Program.
Commissions may include qualifying payments arising from subscriptions, renewals, upgrades, downgrades, reactivations, or other paid Teleparty offerings that Teleparty designates as commissionable.
3.1 Commission Calculation
FirstPromoter calculates and records Affiliate commissions based on transaction data received through Teleparty’s billing integration or otherwise supplied to FirstPromoter. For purposes of the Program, commission and payout amounts reflected in FirstPromoter’s records will control, subject to correction for errors, refunds, chargebacks, fraud, or other adjustments permitted under these Terms.
Teleparty configures the Program reward as 25% of the qualifying sale amount reported to FirstPromoter. The qualifying sale amount is the amount actually paid for the applicable charge before VAT, sales tax, and similar transaction taxes, and after any discount, coupon, credit, promotion, or other price reduction has been applied.
3.2 Lifetime Commissions
“Lifetime” commissions mean that an attributed customer’s qualifying future payments may continue generating commissions for the Affiliate for as long as:
- the customer remains properly attributed to the Affiliate;
- the applicable payment qualifies under the Program;
- the Affiliate remains entitled to commissions under these Terms; and
- the Program and applicable commission structure continue to provide for such commissions.
“Lifetime” does not mean that Teleparty guarantees any commission rate or Program terms permanently.
Teleparty may modify the Program, including commission rates and the availability or scope of lifetime commissions, as described in Section 14.
4. Valid Payments, Refunds, and Chargebacks
Commissions are earned only on bona fide customer payments actually collected and retained by Teleparty.
No commission is payable on amounts that are:
- refunded;
- reversed;
- charged back;
- disputed and returned to the customer;
- canceled before successful collection;
- determined to be fraudulent;
- associated with a self-referral prohibited under these Terms;
- otherwise not ultimately retained by Teleparty.
If a commission relating to a payment is reversed before the Affiliate has been paid, Teleparty may remove that commission from the Affiliate’s balance.
If Teleparty has already paid a commission relating to a payment that is later refunded, reversed, charged back, determined to be fraudulent, or otherwise invalid, Teleparty may deduct the applicable amount from future commissions, offset the amount against the Affiliate’s existing balance, and/or require the Affiliate to repay the applicable amount to Teleparty.
5. Payments to Affiliates
FirstPromoter is Teleparty’s system of record for calculating and recording Affiliate commissions and for aggregating eligible commissions into payout balances under the Program. Teleparty relies on FirstPromoter’s records for commission and payout calculations, subject to corrections or manual adjustments permitted under these Terms.
Under the Program’s current Net-30 payout terms, FirstPromoter groups commissions by calendar month and makes the resulting payout due on the 30th day of the following month, subject to the minimum payout threshold, the minimum referred-customer requirement, validation, fraud review, refunds, chargebacks, and applicable payout-provider requirements.
The actual transfer of funds may be processed through FirstPromoter or through a supported third-party payout method or provider. A payout due date is not a guarantee that funds will arrive in the Affiliate’s account on that exact date, as processing times may vary by provider.
If there is a discrepancy between an Affiliate’s own calculation and the commission or payout amount recorded by FirstPromoter, FirstPromoter’s recorded amount will govern unless Teleparty determines that a correction is appropriate.
5.1 Minimum Payout
The minimum payout amount is $15 USD.
In addition, you must have at least two (2) referred paying customers before you are eligible to receive a payout.
If your eligible Affiliate balance is less than $15, or if you have fewer than two (2) referred paying customers, the balance will roll forward until both the minimum payout threshold and the minimum customer requirement are met, unless otherwise required by law or determined by Teleparty.
5.2 Payout Methods
Available payout methods may include PayPal and bank transfer, as supported by Teleparty’s payout provider from time to time.
You are responsible for maintaining a valid payout account, providing accurate payout information, and completing any identity, tax, or payment-provider verification requirements. Any payout, withdrawal, receiving, currency-conversion, intermediary-bank, or similar fees will be handled according to the applicable payout method or provider and may be borne by or deducted from the Affiliate where the provider’s applicable terms or payout flow so provide.
Teleparty is not responsible for delays or failed payments caused by inaccurate information supplied by the Affiliate or by third-party payment providers.
6. Taxes
You are solely responsible for determining, reporting, and paying all taxes, duties, levies, or similar obligations arising from commissions you receive through the Program.
Teleparty or its service providers may require you to provide tax documentation or other information before making payment.
Nothing in these Terms creates an employer-employee relationship between Teleparty and an Affiliate.
7. No Self-Referrals
You may not use your own Affiliate link, account, tracking identifier, or other referral mechanism to earn a commission on purchases made by you for yourself.
Attempts to disguise a self-referral through alternate accounts, identities, payment methods, technical measures, or similar methods are prohibited.
The mere fact that you know, work with, live with, or have another relationship with a referred customer does not by itself make the referral invalid, provided that the transaction is genuine, the customer is actually the purchaser, and the referral is not being used to evade the prohibition on self-referrals.
Teleparty may investigate suspected self-referrals and determine, in its reasonable discretion, whether a transaction is legitimate.
8. Fraud and Manipulation
You may not engage in fraudulent, deceptive, abusive, artificial, or manipulative activity in connection with the Program.
Prohibited conduct includes, without limitation:
- generating fake or artificial referrals;
- creating fake accounts or transactions;
- using bots or automated systems to manufacture referrals, clicks, signups, or transactions;
- cookie stuffing;
- forced clicks;
- hidden frames or redirects intended to create attribution without genuine user action;
- misleading users about the purpose of a referral link;
- manipulating Teleparty’s tracking or attribution systems;
- obtaining commissions through stolen payment methods or other fraudulent transactions;
- attempting to circumvent the Program’s attribution rules;
- making false claims to obtain manual referral attribution; or
- otherwise attempting to obtain commissions that were not legitimately generated through your promotional efforts.
Teleparty may delay or withhold payments while investigating suspected fraud, abuse, chargebacks, or other violations for as long as reasonably necessary to complete the investigation.
Teleparty may reject or reverse commissions that it reasonably determines are invalid.
9. Promotional Rules
You may promote Teleparty through websites, blogs, social media, videos, newsletters, communities, direct recommendations, and other lawful channels, subject to these Terms.
Your marketing must be truthful, lawful, and not misleading.
You may not:
- make false, misleading, deceptive, or unsubstantiated claims about Teleparty;
- misrepresent Teleparty’s pricing, functionality, compatibility, availability, policies, or services;
- represent yourself as Teleparty or as an employee or authorized representative of Teleparty;
- state or imply that Teleparty endorses you or your content except as expressly authorized;
- use spam or unsolicited bulk communications;
- engage in unlawful or deceptive email, SMS, or direct-message marketing;
- use fake reviews or testimonials;
- use deceptive redirects, forced clicks, cookie stuffing, or similar techniques;
- promote Teleparty in connection with unlawful activity;
- use promotional methods that materially damage or are reasonably likely to damage Teleparty’s brand or reputation.
Teleparty may require an Affiliate to modify or remove promotional content that Teleparty reasonably believes violates these Terms or misrepresents Teleparty.
10. Paid Advertising
Unless Teleparty provides prior written authorization, Affiliates may not run paid advertising to promote Teleparty or an Affiliate referral link.
This includes paid search, paid social media advertising, display advertising, sponsored placements, and other paid acquisition campaigns.
Without limiting the above, you may not bid on or purchase advertising against Teleparty’s trademarks, brand names, misspellings, variations, product names, or branded search terms, including terms such as “Teleparty,” “Teleparty Premium,” or substantially similar terms.
Teleparty may change or relax this restriction at any time.
11. Coupons and Discounts
Participation in the Affiliate Program does not give you the right to offer customers a Teleparty discount or coupon.
Unless Teleparty expressly authorizes you to do so, you may not:
- create or advertise purported Teleparty coupon codes;
- claim that your Affiliate link gives customers a discount;
- advertise nonexistent sales or promotions;
- publish or distribute discount codes intended for another Teleparty program, creator, partner, or campaign; or
- promote a code that Teleparty has not authorized you to distribute.
If Teleparty separately authorizes you to promote a discount or coupon, your use of that discount remains subject to any additional rules provided by Teleparty.
12. Teleparty Brand and Marketing Materials
Teleparty grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during your participation in the Program to use Teleparty’s publicly available name, logos, screenshots, product images, and other publicly available brand materials solely for the purpose of truthfully promoting Teleparty through the Program.
You may create your own promotional content incorporating Teleparty branding, provided that the content:
- does not alter Teleparty’s trademarks in a misleading or damaging manner;
- does not imply that you are Teleparty;
- does not imply sponsorship, endorsement, or an official relationship beyond your participation as an Affiliate;
- complies with Teleparty’s branding instructions, if any; and
- complies with these Terms.
You may not register or use a domain name, business name, application name, social-media username, account name, or similar identifier that contains “Teleparty” or a confusingly similar variation in a manner that suggests the account, website, product, or service is owned or operated by Teleparty.
All right, title, and interest in Teleparty’s trademarks, software, content, branding, and other intellectual property remain exclusively with Teleparty and its licensors.
Teleparty may revoke your right to use its branding at any time.
13. Affiliate Disclosures and Compliance with Law
You are responsible for complying with all laws, regulations, industry rules, and platform policies applicable to your promotional activities.
Where required, you must clearly and conspicuously disclose your Affiliate relationship with Teleparty and the fact that you may receive compensation when users purchase through your referral link.
You are responsible for compliance with applicable endorsement, advertising, privacy, consumer-protection, anti-spam, and electronic-communication laws and regulations, including applicable Federal Trade Commission requirements in the United States.
If you use email or similar marketing channels, you may only contact recipients where you have the legal right and any required consent to do so.
14. Changes to the Program and These Terms
Teleparty may modify, suspend, replace, or discontinue any part of the Program at any time and in its discretion.
This includes the right to change commission rates, attribution methods, attribution windows, eligible products or payments, lifetime commission rules, payout timing, payout thresholds, payment methods, eligibility requirements, promotional restrictions, benefits, and any other Program terms or features.
Teleparty may also amend these Terms at any time.
Unless Teleparty expressly states otherwise, changes may apply to existing referrals as well as future referrals, and existing commissions are not grandfathered into prior Program terms.
Your continued participation in the Program after updated Terms become effective constitutes acceptance of the updated Terms.
Nothing in the use of the term “lifetime,” or in any prior commission rate or Program description, creates a vested right to an unchanged future commission rate or Program structure.
15. Suspension and Termination
Either you or Teleparty may terminate your participation in the Program at any time.
Teleparty may suspend or terminate an Affiliate account at any time, with or without cause.
Upon termination, you must stop representing yourself as a current Teleparty Affiliate and, upon Teleparty’s request, discontinue use of Teleparty materials provided solely for participation in the Program.
15.1 Ordinary Termination
Unless Teleparty determines otherwise based on the circumstances of the termination, an Affiliate whose participation is terminated without fraud, abuse, or material breach will generally remain eligible to receive commissions generated by valid customers properly attributed before termination.
Any such continuing commissions remain subject to these Terms as amended from time to time, the then-current commission rate and Program rules, refund and chargeback rules, continued validity of the underlying referral, and Teleparty’s right to modify or discontinue the Program.
15.2 Fraud, Abuse, or Material Breach
If Teleparty determines that an Affiliate engaged in fraud, self-referral, manipulation, unlawful promotion, material misrepresentation, or another material violation of these Terms, Teleparty may, in addition to any other available remedies:
- immediately suspend or terminate the Affiliate;
- cancel pending commissions;
- reverse previously credited commissions;
- withhold unpaid balances;
- terminate the Affiliate’s right to future commissions from previously referred customers;
- offset amounts against future payments; and/or
- seek repayment of amounts previously paid.
Teleparty will determine treatment of commissions following termination based on the circumstances of the termination, the nature of any violation, and applicable law.
16. Customers Remain Teleparty Customers
Customers referred through the Program are customers of Teleparty, not of the Affiliate.
Teleparty retains sole control over product pricing, subscriptions, discounts, refunds, customer service, product functionality, product availability, customer eligibility, payment acceptance, account termination, and Teleparty policies and procedures.
You have no authority to enter into agreements, make commitments, provide warranties, issue refunds, or otherwise act on behalf of Teleparty.
17. Customer Data and Privacy
Participation in the Program does not give you ownership of, or any independent right to use, Teleparty customer information.
Any referral, conversion, revenue, or customer information Teleparty makes available through the Affiliate dashboard may be used only for purposes reasonably related to your participation in the Program.
You must comply with applicable privacy and data-protection laws in connection with any personal information you independently collect through your promotional activities.
18. Independent Contractor Relationship
You and Teleparty are independent contractors.
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, franchise, employment, sales-representative, or similar relationship.
You have no authority to bind Teleparty or incur any obligation on Teleparty’s behalf.
You are solely responsible for your own business operations, expenses, employees, contractors, taxes, licenses, insurance, and compliance obligations.
19. Confidentiality
If Teleparty provides you with non-public information and identifies it as confidential, or if the confidential nature of the information should reasonably be understood from the circumstances, you must keep that information confidential and use it only for purposes of participating in the Program.
This obligation does not apply to information that becomes public through no breach of these Terms, was lawfully known to you without confidentiality restrictions, or is independently developed without use of Teleparty’s confidential information.
20. No Earnings Guarantee
Teleparty does not guarantee that you will generate any referrals, customers, commissions, revenue, or profit through the Program.
Tracking systems, websites, payment systems, and third-party services may occasionally experience interruptions, errors, or failures.
Teleparty does not guarantee uninterrupted tracking or availability of the Program.
FirstPromoter’s records are the system of record for commission and payout calculations under the Program, subject to corrections or manual adjustments that Teleparty determines are appropriate under these Terms.
21. Disclaimer of Warranties
To the fullest extent permitted by law, the Program and any related services, dashboards, links, tracking technology, or materials are provided “as is” and “as available.”
Teleparty disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
Nothing in this Section limits any warranty or liability that cannot legally be excluded.
22. Limitation of Liability
To the fullest extent permitted by applicable law, Teleparty and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or relating to the Program or these Terms.
To the fullest extent permitted by applicable law, Teleparty’s aggregate liability arising out of or relating to the Program or these Terms will not exceed the total commissions actually paid or payable to you under the Program during the 12 months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory asserted and even if Teleparty has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
23. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Teleparty and its affiliates, officers, directors, employees, agents, and service providers from and against claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising from or relating to your promotional activities, your violation of these Terms, your violation of applicable law, your infringement or misuse of third-party rights, content created or distributed by you, or any representation, promise, or statement you make concerning Teleparty that was not authorized by Teleparty.
24. Governing Law and Venue
These Terms and any dispute arising out of or relating to the Program will be governed by the laws of the State of California, United States, without regard to conflict-of-laws principles.
Subject to applicable law, the parties agree that any legal action or proceeding arising out of or relating to these Terms or the Program will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction and venue of those courts.
25. Notices
Teleparty may provide notices relating to the Program or these Terms by email to the address associated with your Affiliate account, through the Affiliate dashboard, by posting updated Terms online, or through another reasonable electronic method.
You are responsible for keeping your contact information current.
Notices to Teleparty regarding the Program should be sent to: team@teleparty.com
26. Assignment
You may not assign or transfer your rights or obligations under these Terms without Teleparty’s prior written consent.
Teleparty may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or otherwise.
27. Force Majeure
Teleparty will not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including failures of internet or telecommunications infrastructure, payment processors, banking systems, hosting providers, governmental action, natural disasters, labor disputes, war, civil unrest, epidemics, or other force majeure events.
28. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
29. Waiver
Teleparty’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or of Teleparty’s right to enforce it later.
Any waiver must be expressly made by Teleparty in writing.
30. Entire Agreement
These Terms, together with any Program-specific rules or policies expressly incorporated by reference, constitute the entire agreement between you and Teleparty concerning your participation in the Affiliate Program and supersede prior discussions, representations, or agreements concerning the Program.
If there is a conflict between these Terms and information displayed in the Affiliate dashboard or other promotional descriptions of the Program, these Terms control unless Teleparty expressly states otherwise in writing.
31. Acceptance
By creating an Affiliate account, clicking to accept these Terms, using an Affiliate referral link, or otherwise participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.
